Responsibilities |
This
position requires substantive experience in M&A, private equity and
or venture capital as well as solid secured lending. Demonstrated history
of proposing and implementing process improvements is a plus.
-
Prepares
and files incorporation and formation documents, typically in Delaware
but also other jurisdictions.
-
Prepares
basic organization documents, including stock certificates and stock ledger,
typically for Delaware but also other jurisdictions.
-
Completes
and files Form SS-4s to obtain EINs, as well as other tax related forms.
-
Compiles
and maintains minute books and stock ledgers.
-
Conducts
research to assist attorneys in determining jurisdictions for qualification.
-
Prepares
and files qualification and withdrawal applications.
-
Orders
lien searches and summarizes lien search results.
-
Prepares
and files statutory filings, including amendments, mergers, and dissolutions.
-
Calculates
Delaware franchise tax (both methods); also calculates franchise tax for
other jurisdictions.
-
Assist
with drafting of secured lending certificates and consents.
-
Interface
with lender’s counsel regarding delivery of original documents

Assists
in due diligence matters.

Formulates
solutions to problems which may arise, such good standing issues.

Consults
with associates on how to handle basic corporate matters.

Provides
direct support to clients (using discretion to handle matters directly
or involving an attorney).

Obtains
information from, and provides information to, clients.

5+ years
of Corporate M&A Mergers and Acquisitions experience in a law firm

Must have
knowledge of corporate governance and entity types and experience with

Responsibilities |
Provide
broad range of paralegal support for large volume of mergers and acquisitions
transactions, for licensing commercial transactions and other corporate
matters. The ideal candidate would have extensive experience with
and detailed understanding of M&A transactions, researching companies
including SEC filings, form management, and would be able to assist in
running an auction (including database management).
DUTIES
